Seller Agreement


1. Introduction

Purpose of the Agreement: This Seller Agreement outlines the terms and conditions governing the relationship between Goodsluck and its sellers. By using the Goodsluck platform, you agree to comply with the provisions outlined in this Agreement.

Relationship between Goodsluck and Sellers: Goodsluck operates as a marketplace where sellers can list, sell, and fulfill goods to buyers. Goodsluck facilitates the transaction process, but the seller is responsible for the accuracy of listings, product fulfillment, and customer service.

Acceptance of Terms: By registering as a seller on Goodsluck, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree with these terms, you should not register as a seller or use the platform.

2. Seller Registration and Account Management

Requirements for Seller Accounts: To sell on Goodsluck, you must create a seller account by providing accurate and complete information during the registration process. You must be at least 18 years old and legally capable of entering into binding agreements. Goodsluck reserves the right to approve or reject any seller account based on its own discretion.

Seller Profile and Verification Process: Upon registration, sellers must complete their profile, including providing necessary business information. Goodsluck may require additional verification for KYC (Know Your Customer) purposes, which may include submitting documents such as proof of identity or business registration. This verification is necessary to maintain the integrity of the marketplace and ensure compliance with relevant laws.

Account Suspension or Termination: Goodsluck reserves the right to suspend or terminate any seller account at its discretion, particularly if the seller violates any terms of this Agreement, engages in fraudulent activity, lists prohibited items, or fails to comply with applicable laws and regulations. Sellers may appeal account suspension through Goodsluck's support system, but Goodsluck's decision will be final.

3. Selling Goods on Goodsluck

Listing Products: Sellers are responsible for creating accurate listings for products they wish to sell on Goodsluck. Product listings must include clear, honest descriptions, relevant images, and any necessary specifications. Goodsluck reserves the right to remove any product listings that do not meet the platform’s standards or that violate any laws or regulations.

Product Descriptions and Accuracy: Sellers must ensure that all product descriptions are truthful, accurate, and not misleading. Any claims made in the product listing must be substantiated with evidence, where applicable. Goodsluck does not endorse or verify the accuracy of the product descriptions provided by sellers, but may take action if misleading or false information is reported.

Pricing and Payment Terms: Sellers are responsible for determining the price of their products. Prices must be listed clearly and must include any applicable taxes and shipping costs. Sellers agree to honor the price listed on their product page for the duration it is active. Payments for sold items will be processed through Goodsluck’s payment system, in accordance with the platform's payment processing policies.

Product Availability and Shipping: Sellers must update their listings to reflect product availability. If a product is out of stock, the listing should be removed or marked as unavailable. Sellers are responsible for ensuring prompt shipping of sold products. They must provide tracking information to buyers within a reasonable time frame. Failure to ship products promptly or provide tracking information may result in account suspension or termination.

No-Purchase-Necessary (NPN) Contribution and Community Closing Rights:No item can be finalized or sold without sufficient NPN contributions, which serve as community-driven participation tokens. Each contribution—whether monetary or NPN—grants the contributor the right to participate in the closing of the deal or receive a platform reward (such as a GLT token). This ensures that all contributions carry value and no contributor experiences pure loss. If an item is not sold or removed from the platform, monetary contributions will be returned, while NPN contributions will be voided without refund, reflecting their nature as participation tokens. This system promotes fairness, transparency, and community involvement in the marketplace.

4. Payouts and Fees

Commission Structure and Fees: Goodsluck charges a commission on each sale made through the platform. The commission rate is clearly stated on the platform and may vary depending on the category or type of goods being sold. Sellers will be notified of any changes in the commission structure. Sellers are responsible for paying any applicable fees, including transaction fees, payment processing fees, and any other fees associated with selling goods on the platform.

Payment Processing and Timing: Payments for successfully completed sales will be processed according to Goodsluck’s payment cycle. Payment will be made to the seller’s designated account after the product is shipped and the buyer confirms receipt. The timing of payouts may vary, and it is the seller’s responsibility to ensure their payment account details are correct and up to date. Goodsluck is not responsible for delays caused by payment processors or other third parties.

Refunds and Returns Policy: Sellers are responsible for adhering to Goodsluck’s Refund and Returns Policy. If a buyer is dissatisfied with a product or there is an issue with the transaction, the seller may be required to provide a refund or replacement. Goodsluck encourages sellers to resolve disputes amicably and provide clear return and refund terms in their product listings. Failure to comply with Goodsluck's return policy may result in penalties or account suspension.

5. Dispute Resolution

Dispute Process and Resolution Mechanism: In the event of a dispute between the seller and a buyer, Goodsluck encourages both parties to attempt to resolve the issue directly. If resolution cannot be reached, the platform provides a mediation process to facilitate a fair outcome. Sellers are required to cooperate with Goodsluck in investigating and resolving disputes. The final decision may involve issuing a refund, product replacement, or other remedies based on the nature of the dispute.

Role of Jury System or Platform Mediation: If mediation does not resolve the dispute, Goodsluck may engage its jury system (if applicable) or platform mediation to review the case. The jury system will consist of randomly selected users who will review the evidence and provide a verdict. The seller agrees to abide by the decision of the jury or platform mediation. Any decision made will be binding, and non-compliance may result in penalties or account suspension. The jury system leverages community participation and contributor rights to ensure fair and transparent resolution.

Consequences of Dispute Outcomes: Depending on the outcome of the dispute resolution process, the seller may be required to issue a refund, replace the product, or take other actions as determined by Goodsluck. Persistent or unresolved disputes may lead to account suspension or termination. Sellers are advised to maintain high standards of service to minimize the likelihood of disputes and ensure customer satisfaction.

6. Seller Obligations and Compliance

Prohibited Goods and Activities: Sellers are strictly prohibited from listing, selling, or promoting illegal, counterfeit, or prohibited goods on Goodsluck. This includes, but is not limited to, items that violate intellectual property rights, items that are illegal under applicable laws, or goods that are harmful, fraudulent, or otherwise inappropriate. Goodsluck reserves the right to remove any listings that violate these terms and suspend or terminate the seller’s account in the event of a violation. Sellers must also comply with Goodsluck’s contribution-based sales process, including the No-Purchase-Necessary (NPN) requirements, ensuring that no item is finalized without the requisite community contributions.

Compliance with Laws and Regulations: Sellers are required to comply with all local, state, national, and international laws and regulations applicable to their products and business activities. This includes, but is not limited to, laws governing consumer protection, product safety, and advertising. Sellers must ensure that their business practices align with all relevant legal requirements, including proper licensing and registration, as needed.

KYC and Anti-Fraud Measures: Goodsluck implements Know-Your-Customer (KYC) and anti-fraud measures to prevent fraudulent activities on the platform. Sellers must provide any necessary identification or documentation requested by Goodsluck for verification purposes. Failure to comply with these requirements may result in account suspension or termination. Sellers must also report any suspicious activity or fraudulent behavior they encounter on the platform and cooperate with Goodsluck in any investigations related to fraud prevention and security.

7. Intellectual Property and Content

Ownership of Product Listings and Content: Sellers retain ownership of the product listings, descriptions, images, and other content they upload to the platform. However, by posting content on Goodsluck, sellers grant Goodsluck a non-exclusive, royalty-free, worldwide license to use, display, and promote their listings and content on the platform. This license is solely for the purpose of operating the marketplace and promoting products. Sellers may not use Goodsluck’s branding or trademarks without express permission.

Use of Brand and Trademarks: Goodsluck’s name, logo, and other trademarks are the property of Goodsluck LLC and are protected by intellectual property laws. Sellers may not use any of Goodsluck’s trademarks, logos, or branding in any way that would suggest an affiliation or endorsement without prior written consent from Goodsluck. Any unauthorized use of Goodsluck’s intellectual property may result in account suspension or legal action.

Copyright and Trademark Violations: Sellers are responsible for ensuring that their product listings and content do not infringe upon the copyrights, trademarks, or other intellectual property rights of third parties. Goodsluck respects the intellectual property rights of others and will act to remove any content that is reported as infringing. Sellers who repeatedly violate intellectual property rights may face penalties, including suspension or termination of their accounts.

8. Liability and Indemnity

Seller’s Responsibility for Listings and Transactions: Sellers are solely responsible for the accuracy, legality, and quality of the products they list on Goodsluck. This includes ensuring that product descriptions, images, and any other content related to the products are truthful, not misleading, and compliant with applicable laws. Sellers are also responsible for fulfilling all orders in accordance with the platform’s terms and ensuring proper delivery and customer satisfaction.

Limitation of Liability for Goodsluck: Goodsluck is not responsible for any issues arising from transactions between buyers and sellers, including but not limited to disputes, product defects, or delivery problems. The platform operates as an intermediary, and while we make every effort to provide a secure and reliable service, we do not guarantee the performance of third-party transactions. Sellers agree to use Goodsluck’s platform at their own risk, and Goodsluck’s liability is limited to the maximum extent permitted by law.

Indemnification by the Seller: Sellers agree to indemnify, defend, and hold harmless Goodsluck, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from their use of the platform, including but not limited to product liability, copyright infringement, violations of applicable laws, or any other activity related to their listings. This indemnity extends to any disputes between the seller and buyer, including those related to fraudulent activity or misconduct.

9. Termination of Agreement

Grounds for Termination: Goodsluck reserves the right to terminate or suspend a seller's account at any time if the seller violates any of the terms outlined in this agreement, engages in fraudulent activity, lists prohibited items, or fails to comply with applicable laws and regulations. Termination may also occur if a seller’s account has been inactive for an extended period or if the seller breaches any other platform policies.

Effects of Termination: Upon termination of the seller agreement, the seller will lose access to the platform’s selling features and may no longer list or sell products. Any pending transactions at the time of termination will be completed, and the seller will be paid any outstanding amounts in accordance with the platform’s payout terms. However, the seller will remain liable for any obligations incurred prior to termination, including any outstanding disputes or claims.

Reinstatement or Appeal Process: If a seller's account is terminated, they may appeal the decision by contacting Goodsluck’s support team within a specified period (e.g., 30 days from the termination notice). Goodsluck will review the appeal and may choose to reinstate the seller’s account if the termination was found to be unjustified. The decision made by Goodsluck regarding reinstatement is final.

10. Amendments and Updates

Changes to Seller Agreement: Goodsluck reserves the right to amend or update this Seller Agreement at any time. Changes may be made to reflect new legal requirements, platform features, or other operational needs. Sellers will be notified of any material changes to the agreement, and the revised agreement will be posted on the platform's website.

Notification of Changes: Sellers will be notified of any significant amendments or updates to this agreement via email or through a notification on the platform. It is the responsibility of the seller to regularly review the Seller Agreement to stay informed of any changes. Continued use of the platform after such changes constitutes acceptance of the revised terms.
